Service Terms

These service terms (“Service Terms”) apply to the services provided by TRIBOO LLC (registered in Delaware, United States) (“we,” “us,” or “our”) to you or the entity you represent (“you,” or “your”) which you accept by signing our engagement letter, or using our Services (as defined below).  

1. Performance.  We will perform the services (“Services”) as agreed between you and us (“Project Scope”) to your reasonable satisfaction.  Assuming such satisfactory performance, you will pay us the agreed amount set out in the Project Scope within seven (7) calendar days following the completion of the Services.  

3. Ownership.  We assign, grant and transfer to you all right, title and interest in any reports, documents, performances or other copyrighted materials in connection with the Project Scope authored or created by us for you, including all copyrights, renewals and extensions.  

4. Relationship.  The parties are independent contractors.  Nothing in these Service Terms will be understood or construed to create or imply any relationship between the parties in the nature of any joint venture, employer/employee, principal/agent or partnership.  We will in no way become your employee.  

5. Confidentiality and Privacy. We agree to the confidentiality terms set out in our non-disclosure agreement. We will only use your personal information in accordance with the Triboo Privacy Policy, and you consent to such usage.

6. Miscellaneous.  These Service Terms, together with the Project Scope, represents the entire agreement between the parties and supersedes any prior oral or written understandings with respect to the Services. These Service Terms may only be amended by a written agreement between the parties.  These Service Terms are governed by and will be construed in accordance with the laws of the State of Washington, United States and the parties irrevocably submit to the non-exclusive jurisdiction of the courts of King County, Washington. Except for material breach of these Service Terms by the other party, these Service Terms may not be terminated by either party.
